The Emerging Business and Technology Team of Bradley Arant Rose & White LLP is comprised of attorneys from several different practice groups that focus a substantial portion of their practice on representing emerging business. By "emerging businesses," we mean any business that has the potential for rapid growth in a large or expanding market. Many of our emerging business clients operate in the IT, telecommunications, software and biotech/healthcare industries, but many others operate in low-tech or no-tech industries such as manufacturing and service companies.
Our team has extensive experience in representing emerging businesses throughout all stages of their life cycles, from start-up to liquidity events, including:
- selection and formation of the appropriate business entity
- raising capital to finance the business, including angel investments, venture capital, CAPCO and other private equity investments, and initial public offerings
- intellectual property matters, including patents, copyrights, trade names and trade marks and developing an overall intellectual property strategy
- implementing stock option and other employee incentive plans
- preparing employment, consulting, confidentiality and proprietary information agreements
- preparing reseller, product development, software development, licensing, website development and other strategic agreements
- regulatory compliance, at the local, state, federal and international levels
- merger and acquisition transactions
- labor and employment matters
- governmental affairs
- state, federal and international taxation
In addition to the foregoing traditional legal services, we leverage the relationships that we have developed over more than a century of experience to help our emerging businesses grow.
