The firm represents both public and private companies in a wide variety of joint venture transactions. For example, the firm recently represented Callaway Chemical Company, a wholly-owned subsidiary of Vulcan Materials Company, based in Columbus, Georgia, in the formation of a joint venture with FMC Corporation, a publicly traded company based in Philadelphia, Pennsylvania. Through the joint venture vehicle, a Delaware limited liability company named Callaway-FMC JV, L.L.C., Callaway and FMC conduct joint research and development of a wrinkle-free textile treatment technology and combine their efforts to commercialize such technology for the worldwide textile market using a non-formaldehyde, maleate-based system. The parties' formation of the limited liability company consummated a series of transactions relating to the licensing and cross-licensing of numerous aspects of patented technology and non-patented elements of technology.
The firm has been actively involved in several other joint venture transactions, including a joint venture among LTV, British Steel and Sumitomo called Trico Steel, LLC, located in Decatur, Alabama.
